General Terms and Conditions of Sale (GTC) of Toprank Europe SAS
1. Purpose
These General Terms and Conditions of Sale (GTC) govern the contractual relationship between Toprank Europe SAS, registered in Strasbourg, and its clients concerning the importation of vehicles from Japan. By placing an order, the client unreservedly accepts these GTC.
2. Services Offered
Toprank Europe offers three levels of service for vehicle importation:
- Basic Level: Vehicle search and purchase in Japan, including export arrangement.
- Intermediate Level: Includes detailed inspections and a comprehensive report before purchase.
- Expert Level: Management of the main steps related to importation, compliance, and homologation in France, excluding the costs of necessary maintenance and modifications.
3. Deposit and Payment
- Deposit: A minimum deposit of €1,000 or 20% of the estimated vehicle price is required upon signing the contract. This deposit is refundable only if no vehicle is purchased. Once the vehicle is purchased in Japan, the deposit is non-refundable.
- Payment in Japan: Payment of the invoice issued by Japan must be made within 10 business days of issuance. This payment covers all costs related to the export of the vehicle, known as « CIF price » (Cost, Insurance, Freight).
- Payment for Services in France: Service fees are due in France upon the purchase of the vehicle in Japan.
4. No Right of Withdrawal
In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to contracts for personalized vehicle import services from Japan once the vehicle has been purchased in Japan. The client acknowledges and accepts that no withdrawal is possible after this purchase.
5. Liability and Limitation of Liability
- Non-Liability of Toprank Europe: Toprank Europe is not responsible for any delays in delivery, damages incurred during transport, or the condition of the vehicle upon receipt. Toprank Europe acts as a purchasing facilitator, offering maximum transparency to enable the client to make their own choice. The vehicles purchased are not the property of Toprank Europe at any time. The client assumes full responsibility for the purchase made through the personalized search service.
6. Pricing for Inspections and Additional Services
- Pre-Auction Inspection: Between €50 and €100.
- Pre-Purchase Inspection at a Dealership: Between €150 and €500.
- Previous Auction Report: €40.
- Previous Owners List: €50.
- JDM Vehicle Mechanical Inspection with Report: €400.
7. Breakdown of Costs in Japan
- Domestic Transportation: Between ¥10,000 and ¥50,000, but can reach ¥200,000 if the vehicle is non-drivable or heavily lowered.
- Port Fees in Japan: ¥20,000.
- Export Arrangement Fees: ¥30,000.
- Marine Insurance: Calculated according to the invoice value.
- Auction Fees: ¥40,000 + a percentage of the auction fees based on the selected service level:
- Basic Level: 5% after ¥1 million.
- Intermediate Level: 5% after ¥2 million.
- Expert Level: 5% after ¥3 million.
8. Marine Insurance
The insurance we arrange for the client covers the following risks:
- Fire and explosion.
- Stranding, sinking, or capsizing of the vessel.
- Overturning or derailment of land conveyance.
- Collision or contact of the vessel or conveyance with an external object (other than water).
- Total loss of any package lost overboard or dropped during loading/unloading.
- Entry of sea, lake, or river water into the vessel, conveyance, or storage place.
- Earthquake, volcanic eruption, or lightning.
- Salvage charges.
- Extraneous risks (moisture, breakage, bending, denting, theft, leakage, non-delivery, shortage, contamination, etc.).
- General average sacrifice.
Limitation: Toprank Europe will assist the client in filing a claim with the insurer but is not responsible for the insurer’s final decision on payment or denial of compensation.
9. Costs in France
- Customs Duties: 10% for vehicles less than 30 years old.
- Customs Clearance Fees: Approximately €680.
- VAT: 20% including customs duties.
- Transport from Le Havre to Colmar: Approximately €1,000.
- COC (Certificate of Conformity): €300.
- DREAL: €100.
- Translation: €70.
- Technical Inspection (CT): €85.
10. Specific Services for the Expert Level
The services offered under the Expert Level include the management of the main steps related to importation, compliance, and homologation in France. This service includes transport costs to Colmar, the COC, DREAL, translation, and technical inspection. The costs of maintenance and necessary modifications for compliance remain the responsibility of the client.
11. Refund Policy
- Vehicle in Japan: If the client is not satisfied after full payment, they can use our auction re-listing service with a fixed fee of €500 per listing.
- Vehicle in France: The vehicle can be consigned for sale in our showroom for a quick resale, with a fixed fee of €1,000.
12. Complaints
All complaints must be sent by email to the following address: sales@toprankeurope.com. Toprank Europe is committed to responding within 15 business days.
13. Modification of the GTC
Toprank Europe reserves the right to modify these GTC at any time. Clients will be informed of any changes by a notification on the Toprank Europe website, including the effective date of the new GTC. It is recommended to regularly review the GTC.
14. Jurisdiction and Applicable Law
These GTC are governed by French law. Any dispute will be subject to the exclusive jurisdiction of the courts of Strasbourg.
